You will be asked to vote for the Nominee or to select "abstain". You must do one or the other.
SECOND, we propose to convert the Club to a 501(c)(3) organization. Doing so will exempt us from charging sales tax on dues and ENY registrations, make it easier for corporations to sponsor ENY, and even enable people to make tax-exempt donations to the Club. Doing so will not change how we do business. But to do this, we need to amend our certificate of incorporation, which will require the affirmative majority of the votes cast in this election. For more information, read the FAQ which appears here.
The current text of the Certificate of Incorporporation can be found. The text as proposed to be amended can be found. For those who really want to get into the weeds, Jerry Ross has written an excellent background memo, which you will find here.
THIRD, on at least three occasions in recent years, we have had disputes with members over who owns designs, images and other intellectual property created for the Club, and the legal posture is, at best, muddy (to use a legal term). We would like to clarify the situation by amending the By-Laws to provide that intellectual property created for the use of the Club belongs to the Club on a non-exclusive basis, unless some other arrangement is made in writing with the creator. The actual text of the proposed By-Law is as follows:
Article VII. MISCELLANEOUS, Section 4. Intellectual Property. All photos, images, logos, trademarks, trade dress, patents and other intellectual property of any kind and description created, adapted, or made available, for the use of the Club in any manner, whether to advertise or promote the Club or its events or otherwise (“Contributed Intellectual Property”), shall be the non-exclusive property of the Club unless otherwise agreed in a writing executed by the creator(s) of such Contributed Intellectual Property and the Club President and at least one other officer of the Club. Such a writing may be specific to individual items of such Contributed Intellectual Property or may govern all such Contributed Intellectual Property; provided however that nothing herein shall be construed to grant to the creator of such Contributed Intellectual Property any right, title or interest in any other Club intellectual property, including that which is not the creator’s Contributed Intellectual Property or Contributed Intellectual Property created by another and to which the Club has rights.
Please note that the intent of this change is NOT to deprive any creator of rights to their intellectual property, but rather to protect the Club from a member from "going home with the football." The Board looks forward to working out other arrangements with professional photographers, designers and others who would prefer a different relationship.
Because this is a change to the By-Laws, an affirmative two-thirds majority of the votes cast in this election is needed for passage.
MOST OF ALL, Thank you for taking the time to vote. Our Club's vitality, indeed viability, is sustained by the Members' active interest in its affairs, and your informed vote definitely represents "giving back" to the Club in a very real way.
Peter Storey
President
